Personal, business or other identifiable information that may be collected
in connection with Users voluntarily exposing the material to 1-800-FOOD-WIZ<span
style='mso-fareast-font-family:"MS Mincho"'>/1-800-PIKABIZ</span>
or Universal Tele-Connection Inc's, is retained by Universal Tele-Connection's
Inc. This information may be used to better understand the Users, users
of the Site and to support advertising and other business transaction
made on the Site(s). Any notes, suggestions, ideas, concepts, message
or billboard postings, or other material submitted by User will become
the property of Universal Tele-Connection's Inc. throughout the world
and Universe, shall be entitled to use the material for any type of
use including in any media whether now known or hereafter devised. We
do NOT re-sell your private information.
Referral Agreement
This Referral Agreement (“Agreement”) grants to the person or entity
Referring Party identified below (“Referring Party”) the right to refer
to 1-800-FOOD-WIZ/1-800-PIKABIZ qualifying
new subscribers (“Prospects”) for the purchase of listing on Universal
Tele-Connections Inc. toll free directory 1-800-FOOD-WIZ/1-800-PIKABIZ directly
from 1-800-FOOD-WIZ/1-800-PIKABIZ or
800foodwiz.com/pikabiz.com in exchange for a Referral Fee(“Referral Fee”),
as set forth below.
1. Referral of Prospects
1.1 To be eligible for a Referral fee, a Referring Party must have a
Subscription directly on 1-800-FOOD-WIZ/1-800-PIKABIZ directory
or referred directly by Universal Tele-Connections Inc. and have applied
for and received a (”Referral Code Number”) and must have a current
and valid PayPal account. Existing 1-800-FOOD-WIZ/1-800-PIKABIZ subscribers
are not eligible for a Prospects, unless current Subscriber re-subscribes
and pays the full amount of subscription fee. The Referring Party must
present their Referral Code to the Prospect and Prospect MUST enter
Referring Party’s code when listing on the 1-800-FOOD-WIZ/1-800-PIKABIZ directory
at the time of subscribing. If the Subscribing lead is approved, an
email will be sent to Referring Party. An approved sales lead is hereinafter
referred to as a “Qualifying Transaction” and eligible for a Referral
Fee upon receipt of payment to 1-800-FOOD-WIZ/1-800-PIKABIZ for
the applicable sale. All approval of Referral Fee’s are at 1-800-FOOD-WIZ/1-800-PIKABIZ sole
discretion.
1.2 All Sales are FINAL and are no refunds unless arbitration is in the
favor of the Subscriber. Then a refund may be granted minus the handling
and transaction fees. Each Qualifying Transaction is only effective for
a period of one (1) year from date of Subscription, the Qualifying Transaction
will expire and Referring Party will need to complete the process in
this section 1.1 again in order to qualify for a referral Fee.
1.3 Relationship of the Parties. Referring Party’s relationship to 1-800-FOOD-WIZ/1-800-PIKABIZ is
that of an independent contractor. Referring Party shall have no authority
to bind 1-800-FOOD-WIZ/1-800-PIKABIZ.
2. Reserved Rights
2.1 This Agreement shall in no way limit 1-800-FOOD-WIZ/1-800-PIKABIZ’s
right to sell directly or indirectly and products or service to any current
or prospective customers, including Prospects.
2.2 1-800-FOOD-WIZ/1-800-PIKABIZ will
not pay more than one (1) Referral Fee on any given Qualifying Transaction,
and 1-800-FOOD-WIZ/1-800-PIKABIZ reserves
the right to apportion a referral Fee if more than one Referring Party
has contributed to the close of a Qualifying Transaction.
2.3 A referring Party may receive the Referral Fee only on the initial
sale of 1-800-FOOD-WIZ/1-800-PIKABIZ subscription.
Fees for the performance of and additional services (such as additional
purchases of products and services like printing material, upgrading
Subscription, charges for used minutes, late fees or other charges to
a subscriber) and any fees associated with subsequent products or service
purchases are not eligible for Referral Fees.
3. Computation
Referral Fees for any Qualifying Transaction shall be based on the Subscription
revenue to 1-800-FOOD-WIZ/1-800-PIKABIZ and
can be changed or ended without notice.
4. Payment Terms. 1-800-FOOD-WIZ/1-800-PIKABIZ shall
within (30) days after receipt of payment from Prospect for the 1-800-FOOD-WIZ/1-800-PIKABIZ service
included in the Qualifying Transaction, remit the applicable Referral
Fee to the Referring Party. All amounts payable by 1-800-FOOD-WIZ/1-800-PIKABIZ to
Referring Party are subject to offset by 1-800-FOOD-WIZ/1-800-PIKABIZ against
any amounts owed by Referring Party to 1-800-FOOD-WIZ/1-800-PIKABIZ.
5. Taxes. Referring Party shall be responsible for payment of all taxes
to which the Referral Fee is subject. Referring Party agrees to indemnify
and hold 1-800-FOOD-WIZ/1-800-PIKABIZ harmless
against any taxes, including penalties, duties and interest levied by
any government on the Referral Fee.
6. No Other Rights. No other rights or licenses are granted to Referral
Party under this Referral Agreement and this Referral Agreement does
not grant referring Party to resell or otherwise distribute any 1-800-FOOD-WIZ/1-800-PIKABIZ products
or services, nor any right to use any 1-800-FOOD-WIZ/1-800-PIKABIZ trademark,
nor any right to provide any services related to any 1-800-FOOD-WIZ/1-800-PIKABIZ product
or service. Such rights may only be granted pursuant to the 1-800-FOOD-WIZ/1-800-PIKABIZ Partner
Program.
7. 1-800-FOOD-WIZ/1-800-PIKABIZ Referring
Party. In the event the Referring Party is or becomes a 1-800-FOOD-WIZ/1-800-PIKABIZ Partner
with rights to resell Authorized Services and Products, 1-800-FOOD-WIZ/1-800-PIKABIZ shall
in its sole discretion determine whether the given Prospect will be provided
Authorized Products or Services either (a) directly from 1-800-FOOD-WIZ/1-800-PIKABIZ or
(b) directly by the Partner under the terms of the applicable reseller
schedule to which the Partner is a part. In no event shall Referring
Party be eligible for fees or benefits under more than one schedule/program
for a given transaction.
8. No Warranty. 1-800-FOOD-WIZ/1-800-PIKABIZ MAKES
NO WARRANTIES AND REPRESENTATIONS, AND EXPRESSLY DISCLAIMS ALL WARRANTIES
AND REPRESENTATIONS, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES
OF VALUE, FITNESS FOR ANY PARTICULAR PURPOSE, MERCHANTABILITY OR OTHERWISE
WITH RESPECT TO THIS REFERRAL AGREEMENT.
9. Limitation of Liability. UNDER NO CIRCUMSTANCES SHALL 1-800-FOOD-WIZ/1-800-PIKABIZ BE
LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTLE OR CONSEQUENTAL DAMAGES
OF ANY KIND OR NATURE WHATSOEVER, ARISING OUT OF OR IN ANY WAY RELATED
TO THIS AGREEMENT REGARDLESS OF THE LEGAL THEORY UPON WHICH SUCH CLAIM
FOR DAMAGES IS BASED, EVEN IF 1-800-FOOD-WIZ/1-800-PIKABIZ HAD
BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES COULD HAVE BEEN REASONABLY
FORSEEN. IN NO EVENT SHALL 1-800-FOOD-WIZ’S LIABILITY EXCEED THE AMOUNT
OF THE REFERRAL FEE FOR THE QUALIFYING TRANSACTION.
10. Termination. This Referral Agreement will commence upon the date
of 1-800-FOOD-WIZ/1-800-PIKABIZ’s
signature below and will continue until the earlier of: (1) one year
thereafter, or (2) until termination by either party upon written notice
to the other party. Termination of the Agreement shall not affect 1-800-FOOD-WIZ/1-800-PIKABIZ’s
obligation to pay Referral Party the Referral Fee for a Qualifying Transaction
registered prior to the termination date.
By Agreeing to this Referral Agreement, Referring Party
acknowledges it has read, understands and agrees to all of the terms
and conditions herein contained.
